1. Validity of the terms

These general terms and conditions (hereinafter "terms") apply to all orders issued by Cafuta d.o.o., Kalce 5J, 1370 Logatec, Slovenia (hereinafter "buyer") for ordered services, goods or tools (hereinafter "products"). The terms apply mutatis mutandis to services, tools and equipment, with the recipients of all orders hereinafter referred to as "suppliers". The terms form an integral part of all transactions between the parties unless the parties agree otherwise in writing.

2. Obligations of suppliers

The supplier is responsible for delivering products of the agreed quality and in accordance with the documentation or samples approved by the buyer. The supplier guarantees that the products do not require inspection by the buyer before or after delivery, unless otherwise agreed. Any changes to the products (composition, source, execution, design, place of production) are permitted only with the buyer's prior written approval. In the event of a change in production or supply, the supplier must submit appropriate samples to the buyer for approval.

3. Order and order confirmation

The buyer's orders are valid only in written form. The supplier must confirm the order in writing no later than three working days after receipt. Any change to the order by the supplier is treated as a new offer, which is valid only if confirmed in writing by the buyer.

4. Prices and payment terms

Prices are stated in the order and are binding. The supplier must ensure that all products are delivered in the agreed quality, with appropriate packaging and with the documentation specified in the order. The buyer pays the issued invoice within the agreed payment term, which begins on receipt of a correctly issued invoice. The invoice must be issued no later than the last day of the month in which the delivery was made.

5. Delivery time

The delivery time is binding. Any deviation from the deadline must be approved by the supplier in writing in advance. If the supplier fails to fulfil its obligations within the specified time, the buyer charges a contractual penalty of 1% of the order value for each calendar day of delay, as well as all costs and damages incurred. In the event of delay, the buyer is entitled to obtain the delivery from other sources.

6. Quality of products and services

The supplier must deliver products in accordance with the order and ensure the quality specified in the specifications, drawings, documentation and applicable industrial standards. The supplier must maintain a quality management system and allow the buyer to inspect the quality of the products on request. In the event of defects in or on the products, the supplier must ensure that the defects are eliminated and carry out corrective actions.

7. Complaints

The buyer must report complaints regarding the quantity of goods or quality defects no later than 5 working days after receipt of the goods, and quality complaints no later than 6 months after receipt. In the event of a complaint, the supplier is obliged, in addition to compensating for damage, to carry out a root-cause analysis of the defect and corrective actions within 14 days.

8. Force majeure

The parties may withdraw from their contractual obligations in the event of force majeure, such as fires, floods, epidemics, wars, natural disasters or other sudden and unforeseen circumstances such as strikes, terrorist attacks, government measures or restrictions that make it impossible to fulfil contractual obligations. In this case, the buyer may reduce the quantities of goods ordered or cancel the order in full if the supplier is unable to fulfil its obligations for a longer period.

9. Confidentiality

The supplier is obliged to treat all information obtained from the buyer as confidential and not to disclose it to third parties without the buyer's written consent. This obligation also applies after the end of the contract.

10. Jurisdiction

The parties will try to settle any disputes arising from these general terms amicably. If this is not possible, the court in Ljubljana, Slovenia, has jurisdiction.

11. Compliance with legislation

The supplier must ensure that the products supplied comply with all legal requirements and regulations relating to quality, safety and environmental protection.
